These Terms of Service (the Terms) are a binding agreement between REVUP LLC, a California limited liability company with its principal office at 168 Villa Rdg., Irvine, California 92602, United States (REVUP, we, us), and the business or organization that creates an account or signs an order for the Service (the Customer, you). The person who accepts these Terms on the Customer's behalf confirms that they have authority to bind the Customer.
You accept these Terms by ticking the acceptance box when you create an account, or by signing an Order or pilot agreement that refers to them. If you do not agree, do not use the Service.
1. Definitions
1.1 Service means the REVUP Revenue Platform, available at app.letsrevup.com and any related apps, application programming interfaces, websites and support that REVUP provides, including the AI assistant known as Zahi.
1.2 Account means the Customer's workspace in the Service and the user logins attached to it.
1.3 Authorized User means an employee, contractor or agent of the Customer whom the Customer allows to use the Service under the Customer's Account.
1.4 Customer Content means all data, text, images, video, audio, brand materials, documents, product information, links, prompts and other material that the Customer or its Authorized Users upload to, create in, or connect to the Service, including Contact Data and Outputs.
1.5 Contact Data means personal data about the Customer's own customers, prospects or other recipients that the Customer uploads, syncs or collects through the Service, such as names, email addresses, phone numbers and consent records.
1.6 Output means content generated by the Service for the Customer, such as posts, captions, articles, emails, messages, images, videos, plans and recommendations.
1.7 Third-Party Platform means a service not operated by REVUP that the Customer connects to the Service, such as LinkedIn, Meta (Facebook, Instagram, Threads, WhatsApp), X, TikTok, YouTube, Google, Pinterest, Bluesky, Reddit, an email service, an SMS gateway, a website or content management system, an online store or a customer relationship management system.
1.8 Order means the plan the Customer selects in the Service, or an order form or pilot agreement signed by both parties, that states the plan, fees, term and usage limits.
1.9 Documentation means the help pages and usage guides REVUP makes available for the Service.
1.10 Data Processing Addendum or DPA means REVUP's Data Processing Addendum, available at letsrevup.com/dpa/, which forms part of these Terms.
1.11 Acceptable Use Policy or AUP means REVUP's Acceptable Use Policy, available at letsrevup.com/acceptable-use/, which forms part of these Terms.
2. The Service
2.1 Access. Subject to these Terms and payment of applicable fees, REVUP grants the Customer a non-exclusive, non-transferable, non-sublicensable right during the subscription term for its Authorized Users to access and use the Service for the Customer's internal business purposes, within the limits of its Order.
2.2 Accounts and Authorized Users. The Customer is responsible for its Authorized Users and for all activity under its Account. The Customer will keep login credentials confidential, will not share individual logins between people, and will tell REVUP promptly at info@letsrevup.com of any unauthorized access it becomes aware of. Workspace administrators (Admins) control who joins the Account, each user's role and posting rights, and approval rules.
2.3 Business use only. The Service is for businesses and professionals. It is not offered to consumers for personal, family or household use. Authorized Users must be at least 18 years old.
2.4 Changes to the Service. REVUP may add, change or remove features. If REVUP removes a material feature of a paid plan during a paid term, it will give at least 30 days' notice and the Customer may then end its subscription with immediate effect by notice before the change takes effect, in which case REVUP will refund prepaid fees for the unused period.
2.5 Pilots, previews and free plans. Features labeled pilot, preview, beta or similar, and any free plan or free trial, are provided "as is", may change or stop at any time, are excluded from any service level or support commitment, and are subject to section 13.2 below. A signed Pilot Program Agreement prevails over this section for that pilot.
2.6 Support. REVUP provides support by email at info@letsrevup.com during business hours, Monday to Friday, 9 am to 5 pm Pacific time, excluding US federal holidays, unless the Order states otherwise.
3. Customer responsibilities
3.1 Lawful use. The Customer will use the Service in compliance with these Terms, the AUP, the Documentation and all laws that apply to the Customer, including advertising, consumer protection, privacy, data protection, anti-spam, telemarketing and messaging laws.
3.2 Rights in Customer Content. The Customer represents and warrants that it has, and will keep, all rights, licenses, consents and permissions needed for REVUP to process Customer Content as these Terms describe, including the rights to any brand assets, images, music, trademarks and people's likenesses it uploads or asks the Service to use.
3.3 Contact Data and messaging consent. Before the Customer uses the Service to send email, SMS, WhatsApp or other messages to any person, the Customer is solely responsible for (a) obtaining and recording every consent the law requires, including prior express written consent where required for marketing text messages; (b) honoring opt-outs and unsubscribe requests promptly and on every channel; (c) including required sender identification, physical address and unsubscribe information; (d) observing quiet hours, frequency limits and country rules; and (e) completing any sender registration that carriers or platforms require, such as US 10DLC brand and campaign registration, UAE sender-name registration or WhatsApp template approval. Each time the Customer uploads, syncs or adds contacts for messaging, the Customer warrants that the required consent exists for the channels selected, and the Service records that warranty with the time and the user who gave it. The Service provides tools to help (consent fields, automatic STOP and unsubscribe handling, suppression lists, quiet-hour scheduling), but the Customer decides who is messaged and what is sent, and remains the sender and the party responsible for compliance.
3.4 Review before publishing. The Customer is responsible for reviewing Outputs before they are published or sent, and for everything published or sent from its Account, whether drafted by an Authorized User or by the Service. Unless an Admin has turned on automatic publishing for specified content, the Service publishes only content that an Authorized User has approved or scheduled.
3.5 Third-Party Platform accounts. The Customer must have the right to use each Third-Party Platform account it connects, and must comply with each platform's terms, policies and developer rules, including platform rules on automation, disclosure of AI-generated content and advertising.
3.6 Prohibited conduct. The Customer will not, and will not allow anyone to: (a) resell, sublicense, rent or provide the Service to third parties, except as an Order expressly allows; (b) copy, modify or create derivative works of the Service; (c) reverse engineer, decompile or try to derive the source code, prompts, models or underlying structure of the Service, except where the law expressly allows this despite this restriction; (d) access the Service to build a competing product or to benchmark it for publication without REVUP's written consent; (e) bypass usage limits, security or access controls; (f) scrape, crawl or extract data from the Service by automated means other than published APIs; (g) use the Service in breach of the AUP; or (h) upload malicious code.
4. Third-Party Platforms
4.1 Connection by the Customer. Where a Third-Party Platform supports sign-in authorization, the Customer connects it by signing in on that platform's own page and approving the permissions shown there; REVUP never asks for the Customer's main password for that platform. The platform issues an access token. Where a platform offers only app-specific credentials or API keys (for example some website systems, email services or CRMs), the Customer may enter those instead. REVUP stores tokens, credentials and keys encrypted and uses them only to provide the features the Customer uses.
4.2 Platform terms and availability. Third-Party Platforms are not controlled by REVUP and are governed by their own terms. REVUP is not responsible for their availability, changes to their interfaces or policies, rate limits, approval decisions, account suspensions, or loss of content on them. If a Third-Party Platform changes or withdraws access, REVUP may change or stop the related feature without liability, and will tell affected Customers as soon as reasonably possible.
4.3 Data from platforms. Data the Service receives from Third-Party Platforms (for example, post metrics or comments) is processed under these Terms, the DPA and that platform's developer terms. REVUP uses it only to provide the Service to the Customer that connected it, and not for advertising.
4.4 Disconnecting. The Customer may disconnect a Third-Party Platform at any time in the Service's settings or in the platform's own settings. On disconnection REVUP deletes the stored access token and, where the platform offers it, revokes the token.
5. AI features and Outputs
5.1 How AI is used. The Service uses artificial intelligence models provided by third-party providers listed in REVUP's subprocessor list to analyze Customer Content and generate Outputs. REVUP sends Customer Content to an AI provider only to produce the result requested. AI providers may keep inputs and outputs for a limited period under their terms (for example for abuse monitoring) before deleting them.
5.2 No training on Customer Content. REVUP does not use Customer Content to train general AI models, and its agreements with AI providers prohibit them from using Customer Content to train their models. REVUP may use Customer Content to improve results for that same Customer only (for example, learning the Customer's brand voice, and each Authorized User's preferences from their likes, dislikes and edits).
5.3 Learning across customers. REVUP may derive and use patterns about misuse and abuse of the Service (for example, ways people try to bypass safety or brand checks) across customers to protect the Service, but only in a form that contains no Customer Content, no Contact Data, no customer's brand voice and no Authorized User's personal preference profile.
5.4 Nature of Outputs. AI-generated Outputs may be inaccurate, incomplete, similar to content generated for others, or unsuitable for the Customer's purpose. Outputs do not constitute legal, financial, tax or other professional advice. Forecasts, recommendations and expected results are estimates, not promises. The Customer must review Outputs before relying on them, publishing them or sending them.
5.5 Ownership of Outputs. As between the parties, and to the extent REVUP has rights in them, the Customer owns Outputs generated for it, and REVUP assigns to the Customer any rights REVUP has in those Outputs, subject to the AUP. REVUP keeps ownership of its templates, layouts, design elements and software that appear in or produce Outputs, and grants the Customer a perpetual, royalty-free license to use them as part of the Outputs. REVUP does not warrant that Outputs are protected by copyright or free of third-party rights.
5.6 Safety and brand checks. The Service may check content before it is scheduled or sent, for example for unlawful content, platform policy issues or fit with the Customer's brand rules. These checks are aids only: they may miss problems or flag acceptable content, and they do not shift responsibility for content to REVUP. Where the Service flags a user's post on brand grounds, it is designed to explain its concern and let the user edit the post or submit it for Admin approval, rather than refuse it outright.
5.7 Disclosure of AI content. Where a Third-Party Platform offers a setting to label AI-generated content, the Service may set it for Outputs. The Customer remains responsible for any disclosure the law or a platform requires.
6. Ownership and data
6.1 Customer Content. The Customer keeps all rights in Customer Content. The Customer grants REVUP and its subprocessors a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, adapt (for formatting and channel requirements) and publish Customer Content only as needed to provide, secure and support the Service, to comply with law, and as the Customer directs, including publishing to Third-Party Platforms the Customer connects.
6.2 REVUP's property. REVUP and its licensors own the Service, the Documentation, the underlying software, prompts, models, templates, algorithms and workflows, and all improvements to them, together with all related intellectual property rights. Except for the limited rights in section 2.1, nothing in these Terms grants the Customer any rights in them. REVUP, the REVUP logo and Zahi are trademarks of REVUP.
6.3 Feedback. If the Customer or an Authorized User gives REVUP suggestions or feedback about the Service, REVUP may use them without restriction or payment, provided that REVUP does not identify the Customer as the source without consent.
6.4 Usage data. REVUP may collect and use data about how the Service is used and performs (for example, feature usage, error logs, AI usage and costs) to operate, secure, support and improve the Service and for billing. REVUP may publish or share such data only as Aggregated Data, meaning data that is aggregated and de-identified so that it does not identify, and cannot reasonably be linked to, the Customer, any Authorized User or any individual. Misuse patterns under section 5.3 are Aggregated Data.
6.5 Personal data. Each party will comply with data protection laws that apply to it. Where REVUP processes personal data on the Customer's behalf, the DPA applies, and the Customer is the controller (or business) and REVUP the processor (or service provider). REVUP's Privacy Policy describes how REVUP handles personal data for which it is the controller.
6.6 Security. REVUP maintains reasonable administrative, technical and physical safeguards designed to protect Customer Content, as described in the DPA, including encryption in transit, encryption at rest provided by the hosting platform with additional encryption of stored channel credentials, separation of each Customer's workspace, role-based access, optional and enforceable two-step sign-in, and audit logging.
6.7 Export and deletion. The Customer may export its Customer Content using the export features of the Service during the subscription term and for 30 days after the Account ends (the Export Window). REVUP will delete Customer Content at the end of the Export Window, except where the law requires retention. Encrypted backups are overwritten within a further 14 days on REVUP's normal backup cycle and remain protected by these Terms until then.
7. Fees, billing and taxes
7.1 Fees. The Customer will pay the fees in its Order. Unless the Order says otherwise, fees are billed in advance in US dollars, monthly or annually, and are non-refundable except as these Terms expressly state.
7.2 Usage-based charges and credits. Some features use credits or are charged by usage (for example AI generations, retries, video generation, or messages). The Service shows usage and remaining credits. Unused credits expire at the end of the period stated in the Order. Where the Customer sends SMS or WhatsApp messages, fees charged by carriers, Meta or messaging providers are the Customer's responsibility, whether billed through REVUP or directly by the provider.
7.3 Automatic renewal. Subscriptions renew automatically for successive periods equal to the initial period unless either party cancels before the renewal date. The Customer can cancel at any time in the Service's billing settings; cancellation takes effect at the end of the current paid period. REVUP will send a reminder before an annual renewal.
7.4 Price changes. REVUP may change prices for a renewal term by giving at least 30 days' notice before the renewal date.
7.5 Late payment and suspension. If fees are more than 15 days overdue, REVUP may, after giving notice, suspend the Service until payment is made. Suspension does not delete Customer Content.
7.6 Taxes. Fees exclude taxes. The Customer pays all sales, use, value-added, goods and services and similar taxes, except taxes on REVUP's income. Where REVUP must collect value-added tax (for example in the United Arab Emirates or Saudi Arabia), it will show the tax on the invoice, and the Customer will provide its tax registration details.
7.7 Payment processor. Card payments will be handled by a third-party payment processor; REVUP does not store full card numbers.
8. Term, suspension and termination
8.1 Term. These Terms apply from the date the Customer first accepts them until all Orders have ended.
8.2 Termination for convenience. The Customer may end its subscription at any time with effect at the end of the current paid period. REVUP may end a free plan or pilot at any time on notice, and may decline to renew a paid subscription by giving at least 60 days' notice before the renewal date.
8.3 Termination for breach. Either party may terminate on written notice if the other party materially breaches these Terms and does not cure the breach within 30 days after receiving notice describing it.
8.4 Suspension. REVUP may suspend an Authorized User or the Account, in whole or in part, immediately if reasonably needed to prevent harm to the Service, other customers, recipients of messages, or third parties; to respond to a Third-Party Platform's or carrier's demand; for a serious breach of the AUP; or as required by law. REVUP will give notice and the reason where lawful and practical, and will restore access once the issue is resolved.
8.5 Effect of termination. On termination, the Customer's right to use the Service ends, scheduled posts and messages stop, and section 6.7 applies to export and deletion. If the Customer terminates for REVUP's uncured breach, REVUP refunds prepaid fees for the unused period.
8.6 Survival. Sections 3.2, 3.3, 5.4, 5.5, 6.2 to 6.5, 6.7, 7 (for amounts due), 8.5, 9.3, 10, 11, 12 and 13 (except 13.4) survive termination.
9. Warranties and disclaimers
9.1 Mutual. Each party represents that it has the authority to enter into these Terms.
9.2 REVUP. REVUP warrants that, during a paid subscription term, the Service will perform materially as described in the Documentation. The Customer's exclusive remedy for breach of this warranty is for REVUP to use reasonable efforts to correct the non-conformity and, if it cannot do so within 30 days of notice, for either party to terminate the affected subscription and for REVUP to refund prepaid fees for the unused period.
9.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE, OUTPUTS AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, REVUP DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE OR NON-INFRINGING, OR THAT USING THE SERVICE WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT, REACH, ENGAGEMENT, LEAD, SALE OR REVENUE.
10. Indemnification
10.1 By REVUP. REVUP will defend the Customer against any third-party claim alleging that the Service, as provided by REVUP and used in accordance with these Terms, infringes that third party's patent, copyright or trademark or misappropriates its trade secret, and will pay damages and costs finally awarded against the Customer or agreed in a settlement REVUP approves. This does not apply to claims arising from Customer Content, Outputs, Third-Party Platforms, combinations with items not provided by REVUP, modifications not made by REVUP, or use in breach of these Terms. If the Service is or may become subject to such a claim, REVUP may procure the right for the Customer to continue using it, modify it to be non-infringing, or terminate the affected subscription and refund prepaid fees for the unused period. This section states REVUP's entire liability for infringement claims.
10.2 By the Customer. The Customer will defend REVUP, its members, officers, employees and contractors against any third-party claim, investigation or regulatory action arising from (a) Customer Content, including any claim that Customer Content or an Output published or sent at the Customer's direction infringes rights, defames anyone or breaches law; (b) messages sent through the Service from the Customer's Account, including any claim under telemarketing, anti-spam or messaging laws such as the TCPA or CAN-SPAM; (c) the Customer's use of Third-Party Platforms; or (d) the Customer's breach of section 3 or the AUP; and will pay damages, fines, penalties and costs (including reasonable attorneys' fees) finally awarded or agreed in a settlement the Customer approves.
10.3 Procedure. The indemnified party will notify the indemnifying party promptly of the claim, give it sole control of the defense and settlement (except that no settlement may impose an obligation or admission on the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party's expense.
11. Limitation of liability
11.1 Exclusion of indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR BUSINESS OPPORTUNITY, OR LOSS OR CORRUPTION OF DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
11.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID AND PAYABLE BY THE CUSTOMER TO REVUP UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR US $100 IF NO FEES WERE PAYABLE.
11.3 Exceptions. Sections 11.1 and 11.2 do not limit (a) the Customer's obligation to pay fees; (b) either party's indemnification obligations under section 10; (c) liability for a party's fraud, gross negligence or willful misconduct; or (d) the Customer's liability for breach of section 3.3 or section 3.6.
12. Confidentiality
12.1 Obligations. Each party will use the other party's non-public information that is marked confidential or that a reasonable person would understand to be confidential (Confidential Information) only to perform under these Terms, will protect it with at least reasonable care, and will disclose it only to its employees, contractors, advisors and subprocessors who need to know it and are bound by confidentiality duties at least as protective. Customer Content is the Customer's Confidential Information.
12.2 Exceptions. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to it without restriction before receipt, is received from a third party without a duty of confidence, or is independently developed without use of the Confidential Information. A party may disclose Confidential Information where required by law, after giving the other party prompt notice where lawful so it can seek protection.
13. General
13.1 Governing law and venue. These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Orange County, California, have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to their jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or Confidential Information.
13.2 Free and pilot use. For any free plan, free trial or pilot without fees, and subject to section 11.3(c), REVUP's total liability is limited to US $100 (or the amount stated in a signed Pilot Program Agreement), REVUP has no indemnity obligation under section 10.1, and the warranty in section 9.2 does not apply.
13.3 Changes to these Terms. REVUP may update these Terms. For material changes, REVUP will give at least 30 days' notice in the Service or by email before they apply. Changes take effect for paid subscriptions at the next renewal unless the change is required by law or concerns new features. If the Customer does not agree to a change, it may cancel before the change takes effect. Continued use after the effective date means acceptance.
13.4 Publicity. REVUP will not name the Customer or use its logo publicly without the Customer's prior written consent (email is enough).
13.5 Assignment. Neither party may assign these Terms without the other's prior written consent, except that either party may assign them without consent to a successor in a merger, acquisition, corporate reorganization (including REVUP's conversion into a corporation) or sale of all or substantially all of the relevant business or assets. Any other attempted assignment is void.
13.6 Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including failures of Third-Party Platforms, internet or hosting providers, AI providers, utilities, labor disputes, acts of government, war, terrorism, natural disasters and epidemics.
13.7 Export and sanctions. The Customer will not use the Service in, or provide access to it from, any country or by any person subject to United States or other applicable sanctions or export restrictions, and represents that it is not on any restricted-party list.
13.8 Notices. Notices to REVUP must be sent to info@letsrevup.com with a copy by mail to REVUP's address above. REVUP may send notices to the email address of the Account owner or Admins, or in the Service. Notices are effective when received.
13.9 Entire agreement and order of precedence. These Terms, together with the AUP, the DPA and any Order, are the entire agreement between the parties about the Service and supersede prior agreements on that subject. If they conflict, the following order applies: the DPA (for the processing of personal data), a signed Order or Pilot Program Agreement, these Terms, the AUP, then the Documentation. An Order may override the DPA only by naming the DPA section it changes. Terms in any Customer purchase order do not apply.
13.10 Other terms. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. A failure to enforce a provision is not a waiver. The parties are independent contractors. There are no third-party beneficiaries, except the persons indemnified under section 10. Headings are for convenience only, and "including" means "including without limitation". These Terms may be accepted electronically.
13.11 Language. These Terms are written in English. If REVUP provides a translation, the English version prevails to the extent the law allows.
14. Copyright complaints
If you believe content published through the Service infringes your copyright, send a notice to REVUP's designated agent, Ayman Ayoub, REVUP LLC, 168 Villa Rdg., Irvine, California 92602, info@letsrevup.com, with the information required by 17 U.S.C. ยง 512(c)(3).
